We are looking for an Associate to join a dynamic legal team in Buffalo, New York. In this role, you will provide critical support to a thriving corporate and commercial practice, gaining valuable experience across a variety of business law matters. This position offers the opportunity to work alongside experienced attorneys while advising a diverse and sophisticated client base.

Responsibilities:
• Assist attorneys in handling a wide range of corporate and commercial legal matters.
• Draft, review, and revise key business documents such as shareholder agreements, operating agreements, acquisition contracts, and other transactional materials.
• Provide guidance to clients on corporate governance, financing arrangements, and contractual obligations.
• Review and analyze corporate policies to ensure compliance with relevant laws, regulations, and industry standards.
• Conduct thorough legal research on various corporate and business law topics.
• Collaborate with attorneys across different practice areas to deliver comprehensive legal solutions.
• Support mergers and acquisitions processes, including due diligence and drafting transaction-related agreements.
• Participate in client meetings to understand their legal needs and provide tailored advice.
• Ensure timely and accurate preparation of legal documents to meet client and regulatory requirements.• Juris Doctor (J.D.) degree from an accredited law school.
• A minimum of 2 years of experience in corporate and commercial law.
• Proficiency in handling corporate transactions, mergers and acquisitions, and contract drafting.
• Strong academic performance and analytical abilities.
• Exceptional written and verbal communication skills.
• Ability to manage multiple priorities in a collaborative and fast-paced environment.
• Familiarity with corporate governance and compliance standards.
• Commitment to delivering high-quality legal solutions to clients.
