Job Description

The In-House Counsel reports directly to and is accountable to the Executive Vice President & General Counsel. This role supports and implements legal, compliance, and sales strategies within the company, with a focus on drafting and negotiating diverse legal documents, managing litigation oversight, and collaborating with executives to enhance compliance programs and corporate policies.

 

Responsibilities

  • Support and implement strategies related to Legal, Compliance, and Sales Departments.
  • Review, draft, and negotiate commercial contracts, corporate documents, loan agreements, mortgages, construction contracts, leases, vessel charters, and towage agreements.
  • Oversee and manage general litigation matters, including employee practices liability, environmental claims, and contractual disputes; outsource actual litigation.
  • Coordinate with executives to upgrade and implement compliance programs.
  • Develop, maintain, and implement employee manuals, corporate policies, and benefit plans.
  • Collaborate with Sales Department on customer contracts and Company tariffs.
  • Assist executives with media, customer, and government relations.
  • Serve as a primary interface among company management, outside counsel, and customers.
  • Develop and implement efficiencies and cost controls in business administration.
  • Manage special projects assigned by company Vice Presidents.
  • Lead project management for government and private sector RFPs, including legal issue breakdown, risk assessment, and final document review.
  • Perform other duties as assigned.

 

Required Qualifications

  • Law degree from an accredited law school and admitted in good standing to practice law in New York or eligible to practice in-house based on Bar membership in another state.
  • Three or more years of legal practice experience in a law firm or corporate legal department.
  • Strong analytical, writing, and presentation skills.
  • Experience in contract negotiation and drafting across various types of agreements.
  • In-depth knowledge of general contract and corporate law principles.
  • Excellent negotiation skills and understanding of deal economics.
  • Knowledge of legal and regulatory requirements in the marine transportation industry.
  • Proficiency with Excel and general Office computer programs.
  • Ability to advise company managers on diverse management issues.

 

Preferred Qualifications

  • Prior maritime transportation industry experience.
